Terms of Use - Aster BI

1. Introduction

Aster Business Intelligence Limited (Aster BI, we, us or our) provides bookkeeping, financial management and business intelligence software. These Terms of Use apply to accounts and services provided through asterbi.com, app.asterbi.com and associated APIs or applications (the Site). By registering for an account or using the services, you agree to these Terms. If you do not agree, do not use the services.

User means an individual using the Site personally or for a business. Account means your Aster BI software account, rather than a bank or payment account issued by a provider. Services include the bookkeeping, reporting, financial management and integration features made available through the Site. A financial provider is the third-party bank, financial institution or payment service provider responsible for a connected financial feature.

You must be at least 18 and have authority to act for any business whose account you use. Additional terms may apply to a particular feature if disclosed to you. A separate signed agreement or applicable feature terms take precedence for the subject they expressly cover; nothing overrides mandatory legal rights.

2. Services and providers

Aster BI helps businesses record and analyse financial activity, manage bookkeeping and reporting, and interact with integrated payment features. The software can transmit user instructions, display balances and payment status, and record or reconcile transactions using information received from providers.

Aster BI is not a bank and does not hold a CBN licence. Customer funds remain with the relevant financial provider rather than in an account held by Aster BI. Wallet or virtual account issuance, custody of funds, underlying payment execution and settlement are performed by the relevant provider, subject to its terms, verification requirements and regulatory responsibilities.

Aster BI remains responsible for its own software, handling of instructions and personal data, and obligations under applicable law. Describing a provider's role does not eliminate those responsibilities or determine every regulatory obligation applicable to an integration. A displayed balance or status is information from the integration and may require reconciliation with the provider's records.

Access to a financial feature may depend on the provider accepting your application, completing verification and setting transaction or account limits. Provider restrictions, processing times and applicable charges should be reviewed before use. Do not use the services to represent yourself or Aster BI as authorised to perform a regulated activity without the required authorisation.

3. Accounts and access

Provide accurate information and keep your contact and business details up to date. Use only your own credentials or access expressly granted to you through an authorised business account. You must not impersonate someone else, create accounts to evade restrictions or help another person obtain unauthorised access. Authorised access for a business does not permit sharing passwords or using another individual's credentials.

You are responsible for instructions you authorise and for reviewing recipients, amounts and other details before submitting them. An instruction may be irreversible after acceptance by a provider; any cancellation or recovery depends on the applicable process and law. Promptly report a mistake or suspected unauthorised instruction to [email protected]. This allocation of responsibilities does not excuse an error or breach attributable to Aster BI.

4. Acceptable use

Use the Site lawfully and within the access and feature permissions granted to you. You must not use it to facilitate fraud, money laundering, terrorist financing, illegal gambling, sanctions evasion or other criminal conduct, or knowingly supply false or misleading account, identity or transaction information.

You must not gain unauthorised access, compromise another account, upload malicious software, interfere with security, impose an unreasonable load, or disrupt the Site or connected provider. You must not copy, reverse engineer or exploit the software contrary to law or these Terms, or infringe another person's intellectual property or privacy rights.

Prohibited uses also include pyramid or Ponzi schemes, unlawful high-yield investment or multi-level marketing schemes; transactions in stolen goods or proceeds of crime; unlawful narcotics or controlled substances; and material promoting unlawful violence, hate or abuse. The Site must not be used for TOR-market, online gambling or mixer transactions prohibited by the applicable feature or provider terms.

Aster BI may investigate reasonably suspected misuse and take proportionate action under the suspension section below. A provider may impose additional restrictions under its own terms and applicable law.

5. Communications

We may provide account notices, agreements, security alerts and service communications electronically through the Site, the service or the email address you provide. Maintain a device and software capable of accessing these messages and keep a valid, accessible email address on your account.

You can contact [email protected] about communication arrangements or use an available unsubscribe option for promotional messages. Essential notices concerning your account or a legal obligation may still be sent. Any limitation on using the service without necessary electronic communications must be explained to you; opting out of marketing alone does not require account suspension.

6. Account security

Keep passwords, API keys and other credentials confidential. Use available additional security features, including two-factor authentication where offered, and protect the devices, email addresses and telephone numbers associated with your account. Keep contact details current so you can receive security notices.

Be alert to phishing and messages requesting credentials or unusual transfers. Access the service through its authentic domains, asterbi.com and app.asterbi.com, and contact us if a message appears suspicious. Notify us promptly of suspected compromise and cooperate with reasonable steps to secure the account.

You are responsible for security measures within your control. Aster BI is responsible for measures within its control and its obligations under law. Responsibility for an unauthorised action depends on the circumstances, including each party's conduct; use of your credentials does not automatically remove rights or remedies available to you.

7. Privacy and business data

Our Privacy Policy at https://www.asterbi.com/privacy-policy explains personal data handling. Accepting these Terms does not by itself provide consent to optional marketing, tracking or every international transfer. A financial provider's own notice applies to processing it controls.

You retain your rights in business records and other content you provide. You grant Aster BI permission to host, process, reproduce and transmit that content only as necessary to provide the services, act on authorised instructions, maintain security and meet applicable legal requirements. You must have the authority and lawful basis needed to upload or share information about others.

Where Aster BI processes personal data on a business's instructions, an appropriate data processing agreement should define the parties' responsibilities. These Terms do not replace any agreement required by law or authorise unrelated use of your data. Relevant information may be shared to handle a dispute or claim only where a lawful basis and necessary safeguards apply.

8. Fees and features

Applicable service or provider charges and any subscription conditions must be disclosed in the relevant plan, order or feature information before you agree to them. Renewal, cancellation and refund conditions are governed by that agreed information and mandatory rights under law.

Contact [email protected] if a charge, feature condition or settlement amount appears incorrect. An advertised plan, order or separate service agreement remains relevant to what Aster BI must provide.

9. Service availability

We will use reasonable care and skill in providing the services. Access can be affected by maintenance, faults, network failures and the availability of external APIs, financial providers or data sources. We do not promise uninterrupted or error-free operation, and a separate service-level agreement applies only where expressly agreed.

Reports and calculations depend on the accuracy and completeness of supplied data and provider responses. Review outputs and reconcile important records before acting on them. The software does not replace professional accounting, tax, legal or investment advice. If an optional AI feature is offered, its output can be inaccurate and should be checked against underlying records.

10. Suspension and termination

We may restrict or suspend relevant access where reasonably necessary to address a security incident, operational fault, suspected unlawful or fraudulent use, breach of these Terms, or a binding legal or regulatory requirement. A financial provider may separately restrict its own feature under the provider's terms or law.

We will make reasonable efforts to explain the decision and available steps to resolve it, unless doing so is prohibited by law or would materially compromise an investigation or security. Restrictions should be proportionate to the issue. A statement of suspicion does not make a user conclusively responsible for a wrongdoing.

You may contact [email protected] to request account closure or discuss exporting records. Closure of an Aster BI account does not itself close a provider account, release a lawful hold or erase records that must be retained. Applicable cancellation, refund and data rights remain governed by the agreed service terms and law.

Ending access does not remove accrued obligations, statutory remedies or the clauses that reasonably need to survive, including lawful record retention, intellectual property and dispute resolution.

11. Intellectual property

Aster BI and its licensors retain the intellectual property rights in the Site, software, documentation and materials they provide. Subject to these Terms, you receive permission to use the available service for your own or your authorised business's purposes. You must not copy, modify, sell, sublicense or reverse engineer protected material except where the law or our written permission allows it.

This clause does not transfer ownership of your business records, another person's content or personal data rights to Aster BI. Any service statistics that are used outside the service must not disclose personal data without an applicable lawful basis.

12. Warranties and liability

Except for commitments expressly agreed and rights that cannot lawfully be excluded, we make no promise that the Site is suitable for every particular purpose or that every third-party service will always be available. Financial providers are responsible for their own execution, settlement, custody and account decisions under their terms and applicable law. Aster BI does not guarantee a provider's performance, but remains responsible for its own acts and omissions.

To the extent permitted by applicable law, Aster BI excludes liability for indirect or consequential loss, loss of expected profit or business opportunity arising from use of the service. This exclusion does not apply where the loss or liability cannot lawfully be excluded. It does not create a blanket exclusion of direct loss or responsibility for our own breach.

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, or any duty, remedy, reasonable-care obligation or consumer or data protection right that applicable law does not allow to be excluded. The Federal Competition and Consumer Protection Act 2018 and other mandatory provisions prevail over an inconsistent term.

13. Claims and indemnity

To the extent permitted by law, you are responsible for reasonable third-party claims and costs caused by your unlawful use of the Site, infringement of another person's rights, or material breach of these Terms. This responsibility applies only to the extent attributable to your conduct, and does not require you to indemnify Aster BI for its own breach, negligence or unlawful act.

Aster BI must notify you of a relevant claim and give you a reasonable opportunity to respond. No settlement imposing liability or an admission on you may be made on your behalf without your consent, unless required by law.

14. Changes and assignment

We may change these Terms to reflect the service or applicable requirements. Material changes will be brought to your attention through the Site, the service or email with the effective date. Where law or the nature of a change requires renewed agreement, posting a change or continued use alone does not replace that agreement. Changes do not retrospectively remove accrued rights.

Neither party may transfer its obligations in a way that unlawfully reduces the other party's rights. Aster BI may transfer this agreement as part of a lawful business reorganisation or acquisition, subject to applicable notice and data protection requirements. You may not transfer your account without our written agreement, except where law requires otherwise.

A party is not responsible for a delay caused by an event beyond its reasonable control to the extent permitted by law, provided it takes reasonable steps to reduce the effects and resume performance. This clause does not waive payments already due, essential legal duties or remedies that cannot lawfully be excluded. If one provision is unenforceable, the remaining provisions continue to apply to the extent lawful.

15. Law and disputes

Nigerian law governs these Terms. Contact [email protected] first if you have a service complaint so that we can investigate and try to resolve it. The mailbox can receive messages at any time and is attended daily; this is not a promise of continuously staffed or immediate support.

If a dispute remains unresolved, the parties will seek mediation through the Lagos Multi-Door Courthouse under its applicable rules. A settlement binds the parties when validly agreed. This clause does not prevent urgent court relief, a complaint to the Nigeria Data Protection Commission, the Federal Competition and Consumer Protection Commission or another competent regulator, or any remedy or jurisdiction protected by mandatory law. If mediation does not resolve the dispute, either party may pursue relief in a court of competent jurisdiction.
